Introduction
Welcome to Spaccy! These Terms of Service ("T&C") are a legally binding agreement between you and Spaccy (the "Platform," "we," "us"). By accessing, browsing, or using our platform, you agree to be bound by these T&C, along with all other policies referenced herein.
Spaccy provides an online marketplace that connects individuals and businesses ("Customers") seeking event services with independent vendors and venue owners ("Service Providers") who offer those services. Spaccy acts solely as a platform to facilitate these connections; we do not employ Service Providers or manage their services.
Please read these T&C carefully before using the Spaccy platform. If you do not agree with any part of these terms, you must not use our services.
Definitions
- ● Platform:The Spaccy website, mobile application, and all associated services.
- ● User/You:Any person or entity using the Platform, including Customers and Service Providers.
- ● Customer:A user who books or seeks to book a service on the Platform.
- ● Service Provider:A user who lists and offers a service on the Platform.
- ● Booking:A confirmed agreement between a Customer and a Service Provider for a service, made and paid for on the Platform.
- ● Content:Any and all text, images, videos, audio, or other information published or transmitted on the Platform by a User.
General Terms of Use
Eligibility
To use the Spaccy platform, you must be at least 18 years old and have the legal capacity to enter into a binding contract. By using the platform, you represent and warrant that you meet these eligibility requirements.
Account Registration
To access certain features of the Platform, you must register for an account. You agree to provide accurate, complete, and current information during the registration process and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account.
Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the Platform for any illegal or fraudulent purpose.
- Impersonating any person or entity.
- Circumventing the Platform's booking and payment system to make or receive payments outside of Spaccy.
- Posting Content that is false, misleading, defamatory, or violates the intellectual property rights of others.
- Harming, threatening, or harassing any other user.
- Interfering with the operation of the Platform.
Booking, Payments, and Escrow
All bookings and payments for services must be made through the Spaccy platform. The entire financial process is governed by our dedicated Payment and Escrow Policy, which is incorporated into these T&C by reference.
- ● Payment Security:Spaccy holds all payments in a secure, third-party escrow account to protect both Customers and Service Providers. Funds are released based on a pre-defined schedule.
- ● Missed Payments:The Payment and Escrow Policy outlines the specific consequences for a customer who misses a payment milestone, including automatic booking cancellation after a grace period.
- ● Spaccy's Role:You acknowledge that Spaccy is not a party to the contract between the Customer and the Service Provider. Our role is limited to facilitating the booking and managing the payment process. We are not responsible for the performance or non-performance of services.
Content and Listings
Service Providers are responsible for the accuracy and quality of their listings and profile content. The rules governing all content on the Platform are detailed in our Content and Listing Policy, which you agree to abide by.
- ● Accuracy:All information must be truthful and accurately reflect the services, pricing, and qualifications offered.
- ● Originality:You warrant that all images, videos, and text you upload are original and that you own the rights to use them.
- ● Prohibited Content:The Content and Listing Policy specifies what is considered inappropriate or prohibited, including misleading information and the unauthorized use of others' content.
Advertising and Promotions
Any use of the Platform's advertising or promotion features is subject to their respective policies.
- ● Advertising:The Advertising Policy governs how Service Providers, affiliates, and partners may reference the Spaccy brand in external promotions. This policy prohibits misleading claims and unauthorized use of our brand assets.
- ● Promotions:The Promotion Policy details the rules for running discounts on the Platform, including the use of countdown timers. This policy clarifies that discounts are only valid for bookings confirmed and paid for within the promotional period.
Data Protection and Privacy
Spaccy is committed to protecting your personal data. The collection, use, and storage of your information are governed by our Data Protection Policy. By using the Platform, you consent to the data practices described in that policy.
- ● Your Rights:The Data Protection Policy informs you of your rights regarding your personal data, including the right to access, rectify, or request the deletion of your information.
- ● Data Security:We employ robust security measures to protect your data from unauthorized access or misuse, as outlined in the Data Protection Policy.
Intellectual Property
- ● Spaccy's IP:All content, logos, trademarks, and software on the Platform are the exclusive property of Spaccy and are protected by intellectual property laws. You may not use any of our IP without our prior written consent.
- ● User Content:By posting Content on the Platform, you grant Spaccy a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your Content for the purpose of operating and promoting the Platform.
Dispute Resolution
Spaccy acts as a neutral arbiter in disputes between Customers and Service Providers. Any dispute regarding a booking is subject to the dispute resolution process outlined in the Payment and Escrow Policy. You agree to use this process as your primary means of resolving any issues.
Limitation of Liability
Spaccy is a marketplace and not a Service Provider or an event organizer. We are not liable for the conduct of any User on or off the Platform, nor are we responsible for the quality, safety, legality, or any other aspect of the services provided by Service Providers. You use the Platform at your own risk. Spaccy will not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
Termination
Spaccy may, at its sole discretion, suspend or terminate your account and access to the Platform for any reason, including but not limited to a breach of these T&C or any of the policies referenced herein.
Governing Law
These T&C are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal action or proceeding related to the Platform shall be brought exclusively in the courts located in Lagos, Nigeria.
Changes to the T&C
Spaccy reserves the right to modify these T&C at any time. We will notify you of any changes by posting the new T&C on the Platform. Your continued use of the Platform after any such changes constitutes your acceptance of the new T&C.
